2. If you do not accept these Terms, please do not use LynxFuse's Services.
1.2 Changes to These Terms
LynxFuse may amend these Terms from time to time and will provide you with advance notice:
- **Material changes:** At least **30 days** prior notice via email and in-system notifications
- Your continued use of the Services after any amendment takes effect constitutes your acceptance of the amended Terms.
2. Service Description
LynxFuse provides comprehensive digital asset and financial technology (Fintech) services as follows:
2.1 Crypto Trading Platform
- **Exchange Services:** Order matching for digital assets (cryptocurrencies, digital tokens) between users (P2P) or against LynxFuse's liquidity pool
- **Order Types:** Market Order, Limit Order, Stop-Loss, Take-Profit, and automated trading orders
- **Trading Pairs:** Digital assets vs. other digital currencies (e.g. BTC/ETH, USDT/BTC) and digital assets vs. fiat currencies (e.g. THB, USD) within the framework authorized by the SEC
2.2 Digital Wallet
- **Custodial Wallet:** LynxFuse holds private keys on behalf of users, employing multi-layered security systems (Multi-Signature, Cold Storage, HSM)
- **Non-Custodial Wallet (Optional):** Users can connect their own wallets (e.g. MetaMask, WalletConnect) for DeFi transactions
- **Asset Deposits and Withdrawals:** Supports transfer of digital assets to and from external wallets
2.3 AI Automation Services
- **Trading Bots:** Automated trading systems using AI and Machine Learning to analyze markets and execute trades according to user-defined strategies
- **Portfolio Management:** Automated portfolio rebalancing
- **Risk Analytics:** Risk analysis, market forecasting, and intelligent alerts
- **AI Assistant:** An intelligent assistant providing advice, data analysis, and investment-related Q&A (this does not constitute financial advice — see Limitation of Liability)
2.4 CRM Services
- **Customer Management:** Customer data management, contact history tracking, and behavior analysis
- **Marketing Automation:** Automated marketing systems, personalized offers, and customer nurturing
- **Analytics Dashboard:** Dashboard for customer data analysis and sales performance metrics
2.5 Payment Processing
- **Fiat On-Ramp/Off-Ramp:** Bridge services between traditional financial systems (Thai banks, PromptPay) and digital assets
- **Merchant Services:** Digital asset payment acceptance for merchants and businesses
- **Cross-Border Payments:** International money transfers using digital assets
3. Eligibility & Registration
3.1 User Eligibility
Users of LynxFuse must meet the following requirements:

3.2 Registration Process
Registration for a LynxFuse account comprises the following steps:
1. **Registration:** Provide basic information (name, email, telephone number) and set a password
2. **Basic Verification:** Verify your email and telephone number (OTP)
3. **Full KYC:** Submit required documents (ID card/passport, proof of address, selfie) to upgrade usage limits
4. **AML Screening:** LynxFuse will conduct AML and sanctions screening prior to account approval
5. **Account Approval:** Once all verifications are completed, your account will be activated
3.3 Account Tiers

4.1 General Responsibilities
As a user of LynxFuse, you agree to:

4.2 Security-Specific Responsibilities
- **Enable 2FA:** You should enable Two-Factor Authentication (2FA) whenever available
- **API Key Management:** If using API keys for trading bots or third-party services, you must grant only the minimum necessary permissions (Read-Only when transactions are not required)
- **Whitelist Address Setting:** You should use the Withdrawal Address Whitelist function to enhance security
- **Transaction Verification:** You should verify all transaction details before confirming — blockchain transactions cannot be cancelled once confirmed
4.3 No Liability for User Negligence
LynxFuse shall not be liable for any loss or damage arising from:
- Your password, 2FA codes, or other login information falling into the hands of others
- Malware installation or cyber attacks resulting from your negligence
- Careless use of API keys
- Sending digital assets to an incorrect destination address
5. Cryptocurrency Risks
**Important Warning:** Trading digital assets carries a high degree of risk. You should only invest what you can afford to lose.
5.1 Price Volatility
- The price of digital assets is highly volatile; prices may increase or decrease rapidly within a short period
- The value of your investment may decline to zero or become negative (in the case of leverage trading)
- LynxFuse cannot guarantee returns or prevent investment losses
5.2 Liquidity Risk
- Some digital assets may have low liquidity, making it impossible to buy or sell the desired quantity at the desired time
- In the event of extreme market volatility (Flash Crash), Stop-Loss orders may not execute at the specified price (Slippage)
5.3 Regulatory & Legal Risk
- The legal status of digital assets in Thailand and other countries is still evolving and subject to change
- **Thailand:** Digital assets in Thailand are regulated by the Securities and Exchange Commission (SEC Thailand) under the Emergency Decree on Digital Asset Businesses B.E. 2561
- The Bank of Thailand (BOT) may issue additional announcements or measures affecting the use of digital assets within the financial system
- Changes in law or tax policy may affect the value or tradability of digital assets
5.4 Technology Risk
- **Blockchain Network Risks:** Network attacks (51% Attack), hard forks, protocol upgrades
- **Smart Contract Risk:** Defects in smart contracts you interact with may result in asset loss
- **Security Breach:** Risk of cyber attacks on LynxFuse or third parties we connect with
- **AI Model Risk:** AI Automation services use Machine Learning models that may produce inaccurate or unexpected results. LynxFuse does not guarantee the accuracy of AI predictions or trading signals
5.5 Other Risks
- **Impermanent Loss** — for Liquidity Pool or related DeFi services
- **Regulatory Action** — actions by regulatory authorities that may result in suspension of certain services
- **Force Majeure** — events beyond our control such as natural disasters, war, pandemics, internet shutdowns

6. Prohibited Activities & Restricted Use
6.1 Illegal Activities
The following uses of LynxFuse's Services are strictly prohibited:

| **Other Illegal Acts** | Any act that violates Thai law or applicable international law |
6.2 Technical Violations

2. LynxFuse has the right to **seize or freeze assets** in the account as prescribed by law
3. LynxFuse has the right to **report to relevant authorities** (AMLO, SEC, police) without seeking your consent
4. Assets involved in illegal activities will be surrendered to the competent authorities
7. Fees & Taxes
7.1 Fees
LynxFuse charges fees for the use of its Services, including but not limited to:

- You are responsible for paying all taxes related to your digital asset transactions in accordance with the laws of Thailand and your country of residence
- **Thailand:** The sale of digital assets (Crypto-to-Fiat) may be subject to Personal Income Tax at progressive rates and may involve Withholding Tax as prescribed by the Revenue Department
- LynxFuse may be required to deduct withholding tax (WHT) under Thai law from your fees or income at the rates prescribed by law
**LynxFuse as a service provider:**
- LynxFuse is a VAT-registered operator in Thailand
- Service fees may include 7% VAT under Thai law (where applicable)

8. Intellectual Property
8.1 LynxFuse Intellectual Property
- The platform, software, API, algorithms, AI models, content, logo, "LynxFuse" name, and all other elements are the intellectual property of LynxFuse Technology Co., Ltd.
- You are granted a **limited, non-exclusive, non-transferable, revocable license** to use the Services solely for the purposes set out in these Terms
- You may not copy, modify, distribute, resell, or create derivative works from LynxFuse's software or content without prior written authorization
8.2 User Content
- You retain ownership of any data and content you upload to the LynxFuse system
- You grant LynxFuse the right to use your data only to the extent necessary to provide the Services as described in the Privacy Policy
- LynxFuse may use anonymized/aggregated transaction data for analysis, product development, and market research
8.3 Copyright Infringement (DMCA / Thai Law)
If you believe that any content on LynxFuse's platform infringes your intellectual property rights, please contact us at **[email protected]** with:
1. A physical or electronic signature of the rights owner or their representative
2. Identification of the copyrighted work claimed to have been infringed
3. The URL or precise location of the infringing content on the platform
4. Your contact information (email, telephone, address)
5. A statement that you have a good faith belief that the use is not authorized
6. A statement that the information in the notice is accurate and that you are the rights owner or authorised to act on their behalf
9. Limitation of Liability
9.1 Service "As Is"
LynxFuse provides the Services on an "AS IS" and "AS AVAILABLE" basis, without any warranty, express or implied, including but not limited to:
- A warranty that the platform will operate without errors or interruptions
- A warranty that AI Trading Bots will generate profits or prevent losses
- A warranty that the Services will be free from viruses or other harmful components
- A warranty as to the accuracy, completeness, or reliability of market data displayed on the platform
9.2 Cap on Liability
**To the maximum extent permitted by law:**
1. LynxFuse (including its directors, employees, agents, and subcontractors) **shall not be liable** for indirect damages, consequential damages, loss of profits, loss of business opportunity, loss of data, or reputational damage, regardless of the circumstances.
2. The total aggregate liability of LynxFuse to you in all circumstances shall not exceed **the total fees paid by you to LynxFuse in the 6 months preceding the event giving rise to the claim** or **10,000 THB**, whichever is higher.
3. This limitation of liability applies even if LynxFuse has been advised of the possibility of such damages.
9.3 Exceptions
The above limitation of liability **shall not apply** if:
- The damage arises from an intentional act or gross negligence of LynxFuse
- The damage arises from a violation of data security laws (PDPA)
- The law does not permit limitation of liability for such cases
9.4 Indemnification
You agree to indemnify and hold harmless LynxFuse, its directors, employees, and agents from any damages arising from:
1. Your breach of these Terms
2. Your unlawful or unauthorized use of LynxFuse's Services
3. Your infringement of any third-party rights
10. Suspension & Termination
10.1 Account Suspension
LynxFuse has the right to temporarily suspend access to your account in the following circumstances:

3. You commit or attempt to commit fraud against the system
4. LynxFuse is unable to complete KYC/AML to required standards
5. LynxFuse is required to cease operations by law or regulatory order
6. Your account has been inactive for more than **12 consecutive months** (may be closed after reasonable notice)
10.3 Termination by User
You may terminate your account at any time by:
1. Logging in and navigating to **Settings > Account > Close Account**
2. Sending an email to **[email protected]** to request account closure
3. Completing any remaining KYC/AML procedures (e.g., identity verification before asset withdrawal)
10.4 Post-Termination Procedure
Upon termination of your account:
1. **Remaining Assets:** You must withdraw all digital assets and fiat currency from your account within **30 days**; otherwise, LynxFuse has the right to take action as prescribed by law
2. **Data Retention:** LynxFuse will continue to retain data as required by law (see Privacy Policy Section 8 — Data Retention)
3. **Open Orders:** Any open orders will be automatically cancelled
4. **Rights and Remedies:** Termination of your account does not affect any rights to claim damages arising prior to termination
11. Miscellaneous
11.1 Governing Law
These Terms of Service **are governed by and construed in accordance with the laws of the Kingdom of Thailand**, without regard to its conflict of laws principles.
11.2 Dispute Resolution

11.4 Waiver
The failure of LynxFuse to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision in the future.
11.5 Severability
If any provision of these Terms is held by a court of competent jurisdiction to be void or unenforceable, the remaining provisions shall remain in full force and effect.
11.6 Assignment
You may not assign your rights or obligations under these Terms to any other person without the prior written consent of LynxFuse. LynxFuse may assign its rights and obligations in connection with a merger, acquisition, sale of business, or corporate reorganization.
11.7 Relationship of the Parties
These Terms do not create a partnership, agency, or employment relationship between you and LynxFuse.
11.8 Electronic Communications
- All transactions, agreements, and communications between you and LynxFuse may be conducted electronically
- You agree that electronic documents have the same legal force and effect as written documents
- LynxFuse's system transaction records shall serve as reliable evidence in legal proceedings

13. Additional Provisions for Specific Jurisdictions
13.1 EEA Users

- Disputes may be brought before the courts of your country, in addition to those specified in Section 11.2
13.2 US Users
**Note:** LynxFuse primarily operates under Thai law. US users should verify whether the laws of their state permit the use of digital asset services. LynxFuse may restrict certain services for US users in accordance with applicable laws.
13.3 Sanctioned Persons
LynxFuse's Services may not be used by persons who:
- Are on the sanctions lists of the UN, US OFAC (SDN List), EU, or UK
- Are citizens or residents of comprehensively sanctioned jurisdictions
